Last updated: 16 August 2026

These Terms and Conditions govern your access to and use of the websites, professional services, training, assessments, software solutions, digital platforms and related services provided by Vinmels Limited.

By accessing our website, purchasing a service, registering for a service or event, or using a Vinmels Limited digital product, you agree to these Terms and Conditions together with any applicable proposal, service agreement, subscription terms, licence terms or other terms presented to you.

1. About Vinmels Limited

Vinmels Limited provides cybersecurity, information technology, governance, risk, compliance, digital resilience, AI governance, business continuity, cloud security, training, advisory, assessment and software-related services.

Vinmels Limited may also provide digital platforms and technology solutions, including Project Sentinel and related services.

2. Eligibility and Authority

If you use our services on behalf of an organisation, you confirm that you have appropriate authority to act on behalf of that organisation and to accept applicable service or contractual terms.

You must provide accurate and complete information when registering, purchasing services or creating an account.

3. Professional Services

The scope, deliverables, fees, timelines and responsibilities relating to consulting, advisory, cybersecurity, governance, risk, compliance, assessment or other professional services may be further described in a proposal, quotation, statement of work, engagement letter or separate service agreement.

Where such a document conflicts with these general Terms and Conditions, the specific terms agreed for that engagement will apply to the extent of the conflict.

4. Software and Digital Services

Vinmels Limited may provide access to software platforms, online tools, subscription services and other digital products.

Access may depend on an active account, subscription, trial period, licence or other authorised arrangement.

Users must not attempt to gain unauthorised access to our systems, interfere with service operation, circumvent security controls, introduce malicious software, misuse another person's account or use our services for unlawful or abusive purposes.

5. Accounts and Security

Where an account is required, you are responsible for protecting your login credentials and for activity carried out through your account, except where such activity results from circumstances for which Vinmels Limited is legally responsible.

You should notify us promptly if you believe that your account or credentials have been compromised.

Vinmels Limited may implement reasonable security measures including access controls, authentication requirements, monitoring, logging and other safeguards to protect our systems and users.

6. AI-Assisted Services

Certain Vinmels Limited services may include artificial intelligence assisted functionality, including VERA AI within Project Sentinel.

AI-generated information, recommendations, summaries or guidance are intended to support human decision-making and should not automatically be treated as a substitute for professional judgement, legal advice, regulatory advice or other specialist advice where such advice is required.

Organisations remain responsible for their own governance, security, compliance, risk acceptance and management decisions.

7. Training, Webinars and Events

Vinmels Limited may provide training programmes, workshops, webinars, seminars, demonstrations and other educational or professional events.

Registration may be subject to specific attendance, payment, cancellation, participation or certification conditions stated at the time of registration.

Vinmels Limited may make reasonable changes to event dates, speakers, delivery methods or content where necessary and will communicate significant changes where appropriate.

8. Fees and Payments

Prices and fees applicable to a service will be communicated through the website, invoice, quotation, proposal, subscription page, payment page or other appropriate documentation.

Customers are responsible for paying applicable charges in accordance with the payment terms presented at the time of purchase or agreed in writing.

Payments may be processed by authorised third-party payment providers. Those providers may apply their own terms, processing procedures and security requirements.

9. Subscriptions and Renewals

Where a service is offered on a recurring subscription basis, the applicable billing frequency, price and renewal conditions will be presented before purchase.

Customers may cancel recurring subscriptions in accordance with the applicable subscription terms and our Refund & Cancellation Policy. Cancellation normally prevents future renewal charges but does not automatically create a refund entitlement for a billing period already used or commenced, except where required by applicable law.

10. Refunds and Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy together with any specific contractual or statutory rights that may apply.

You can review our Refund & Cancellation Policy at: www.vinmelslimited.com/refund-policy.html

Unless otherwise agreed in writing, the Vinmels Limited name, logos, website content, software, platform designs, reports, training materials, methodologies, graphics, documentation and other original materials provided by Vinmels Limited remain the intellectual property of Vinmels Limited or the applicable rights holder.

Customers may use materials provided to them for their authorised internal or contractual purpose but may not reproduce, resell, distribute, modify, publish or commercially exploit protected materials without appropriate permission.

12. Customer Responsibilities

Customers are responsible for providing accurate information and reasonable cooperation required for the delivery of services.

Where Vinmels Limited relies on information, systems, evidence, documentation or representations supplied by a customer, the customer remains responsible for ensuring that such information is accurate, lawful and appropriately authorised.

13. Privacy and Data Protection

Vinmels Limited processes personal information in accordance with applicable data protection requirements and our Privacy Policy.

14. Third-Party Services

Some Vinmels Limited services may depend on or integrate with third-party technology, hosting providers, payment processors, communication services or other external platforms.

Vinmels Limited does not control all aspects of third-party systems and cannot guarantee their uninterrupted availability. Use of third-party services may also be subject to the applicable provider's own terms.

15. Service Availability

Vinmels Limited aims to provide reliable and secure services but does not guarantee that websites, software or digital services will always operate without interruption, delay or technical error.

We may carry out maintenance, security updates, upgrades or other operational changes where reasonably necessary.

16. Limitation of Liability

To the extent permitted by applicable law, Vinmels Limited will not be responsible for indirect, incidental, special or consequential losses arising solely from use of our services where such liability may lawfully be limited.

Nothing in these Terms and Conditions excludes or restricts liability or consumer rights that cannot lawfully be excluded or restricted.

17. Suspension or Termination

Vinmels Limited may suspend or restrict access to a service where reasonably necessary to address security threats, suspected fraud, unlawful activity, material breach of these terms, misuse of the service or non-payment.

Where appropriate and reasonably practicable, affected customers will be informed of the relevant issue and any steps required to restore service.

18. Changes to These Terms

Vinmels Limited may update these Terms and Conditions from time to time to reflect changes in our services, technology, business operations or applicable requirements.

The updated version will be published on this page with a revised "Last updated" date. Material changes affecting an active contractual relationship may also be communicated through appropriate channels where required.

19. Governing Law

These Terms and Conditions are governed by the applicable laws of the Federal Republic of Nigeria, subject to any mandatory rights or laws that may apply to a customer based on the nature of the transaction or applicable jurisdiction.

20. Complaints and Dispute Resolution
